Welcome to MIC. These Terms of Service ("Terms") govern your access to and use of our voice recording and AI training platform, website, and services (collectively, the "Platform"). By connecting your wallet and using our Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and MIC.

2. Eligibility

To use our Platform, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our services under applicable laws
• Have a compatible Solana wallet for connecting to our Platform
• Provide accurate and truthful information

By using the Platform, you represent and warrant that you meet these eligibility requirements.

3. Platform Services

3.1 Voice Recording and Transcription

Our Platform allows you to record your voice, generate automatic transcriptions, and submit these recordings to contribute to AI training datasets. Each valid contribution earns you $V0ICE tokens (subject to token launch and distribution terms).

3.2 Token Rewards

Participants who submit valid voice recordings will earn $V0ICE tokens. Token distribution will occur after the official token launch on pump.fun. The exact token amount per recording may vary based on factors including recording quality, length, uniqueness, and overall platform activity.

3.3 Service Availability

We strive to maintain continuous Platform availability but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control.

4. User Obligations and Conduct

4.1 Recording Quality and Content

When submitting voice recordings, you agree to:

• Provide clear, audible recordings without excessive background noise
• Speak naturally and clearly in your recordings
• Ensure transcriptions accurately represent the recorded audio
• Submit original recordings that you have personally created
• Not submit duplicate, recycled, or artificially generated content

4.2 Prohibited Content

You must not submit recordings containing:

• Hate speech, discriminatory language, or harassment
• Obscene, profane, or sexually explicit content
• Threats, violence, or illegal activities
• Personal information of yourself or others (addresses, phone numbers, financial information)
• Copyrighted material you do not have rights to use
• Spam, advertising, or promotional content
• False, misleading, or deceptive information
• Malicious code, viruses, or harmful content

4.3 Prohibited Activities

You agree not to:

• Use automated bots, scripts, or tools to submit recordings
• Create multiple accounts to earn additional tokens
• Manipulate, exploit, or abuse the Platform or its reward system
• Attempt to reverse engineer, hack, or compromise the Platform
• Interfere with other users' access or use of the Platform
• Impersonate any person or entity
• Collect or harvest data from the Platform without authorization
• Use the Platform for any illegal or unauthorized purpose

5. Intellectual Property Rights

5.1 Your Content

You retain ownership of your voice recordings. However, by submitting recordings to our Platform, you grant MIC and its affiliates a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to:

• Use, reproduce, modify, and distribute your recordings
• Create derivative works based on your recordings
• Incorporate your recordings into AI training datasets
• Use your recordings for research and development purposes
• Anonymize and aggregate your recordings with other data
• License trained AI models that incorporated your recordings

5.2 Platform Ownership

The Platform, including its design, functionality, code, graphics, and content (excluding user-submitted recordings), is owned by MIC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Platform without our express written permission.

5.3 Trademark

"MIC," the MIC logo, and related marks are trademarks of MIC. You may not use these marks without prior written consent.

6. $V0ICE Token

6.1 Token Distribution

$V0ICE tokens will be distributed to users after the official token launch on pump.fun. Token distribution is subject to:

• Successful token launch completion
• Validation of your submitted recordings
• Compliance with these Terms
• Technical feasibility and blockchain availability

6.2 No Guarantee of Value

MIC makes no representations or warranties regarding the future value, utility, or liquidity of $V0ICE tokens. Token values may increase, decrease, or become worthless. You acknowledge that:

• $V0ICE tokens have no inherent monetary value
• Token distribution does not constitute an investment contract
• You are not guaranteed any financial return
• We are not responsible for token price fluctuations

6.3 Regulatory Compliance

You are solely responsible for complying with tax obligations and regulations in your jurisdiction regarding cryptocurrency and token earnings. We are not responsible for any tax consequences resulting from your participation.

6.4 Token Launch Contingency

If the $V0ICE token launch is delayed, cancelled, or unsuccessful for any reason, MIC is not obligated to provide alternative compensation for submitted recordings. Your recordings remain licensed to us under Section 5.1 regardless of token distribution status.

7. Wallet Connection and Security

7.1 Wallet Responsibility

You are solely responsible for:

• Maintaining the security of your wallet and private keys
• All activities that occur under your wallet address
• Ensuring your wallet is compatible with our Platform
• Any losses due to compromised wallet security

7.2 Wallet Transactions

When you connect your wallet, you authorize the Platform to:

• Read your wallet address
• Track your contributions and recording history
• Send $V0ICE tokens to your wallet address

We will never request or access your private keys. We cannot recover lost or stolen wallets.

8. Data Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and sharing of your data as described in the Privacy Policy.

9. Disclaimers and Warranties

9.1 No Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of uninterrupted or error-free service
• Warranties regarding data accuracy or reliability
• Warranties of security or freedom from viruses

9.2 AI Training Disclaimer

We do not guarantee that your recordings will be used in any specific AI model or produce any particular results. AI training outcomes depend on numerous factors beyond our control.

9.3 Third-Party Services

The Platform may integrate with third-party services (e.g., Solana blockchain, pump.fun). We are not responsible for the availability, functionality, or policies of these third-party services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Token value fluctuations or losses
• Wallet security breaches or lost private keys
• Service interruptions or technical failures
• Unauthorized access to or use of your recordings
• Actions or omissions of third parties

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT OF $V0ICE TOKENS YOU HAVE EARNED (VALUED AT TIME OF DISTRIBUTION) OR $100 USD, WHICHEVER IS LESS.

11. Indemnification

You agree to indemnify, defend, and hold harmless MIC and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Your submitted recordings or content
• Disputes between you and other users

12. Account Termination

12.1 Termination by You

You may stop using the Platform at any time by disconnecting your wallet. Previously submitted recordings remain licensed to us under these Terms.

12.2 Termination by Us

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Submission of prohibited content
• Any reason at our sole discretion

12.3 Effect of Termination

Upon termination:

• Your access to the Platform will be immediately revoked
• You forfeit any pending token rewards
• Our license to your recordings remains in effect
• Provisions intended to survive termination will continue to apply

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform with an updated "Last Updated" date. Continued use of the Platform after changes constitutes acceptance of the modified Terms. Material changes may be announced through our official communication channels.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us to attempt informal resolution of any dispute.

14.2 Arbitration

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration rather than in court, except where prohibited by law.

14.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions, class arbitrations, or representative proceedings.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which MIC operates, without regard to conflict of law principles.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MIC regarding the Platform.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16.3 No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

16.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms at any time without notice.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or technical failures.
